All clients will be required to sign a separate Service Agreement that outlines the scope of work, payment terms, and other relevant details specific to the services being provided. The Service Agreement will take precedence over these Terms and Conditions in case of any conflict.
 

4. Payment
Payment terms and pricing for our services will be specified in the Service Agreement. Clients are responsible for making payments as outlined in the Agreement. Failure to make timely payments may result in suspension or termination of services.
 

5. Intellectual Property
All intellectual property created by the Agency as part of the services, including but not limited to content, designs, and marketing materials, will remain the property of the Agency until otherwise agreed upon in writing.
 

6. Confidentiality
Both the Agency and the client agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
 

7. Termination
Either party may terminate the engagement by providing written notice to the other party. Termination terms and any applicable refunds or fees will be outlined in the Service Agreement.
 

8. Limitation of Liability
The Agency will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our services, including but not limited to loss of data, business interruption, or financial losses.
 

9. Indemnification
Clients agree to indemnify and hold the Agency harmless from any claims, damages, or losses arising from the client's use of our services, including any content provided by the client.
 

10. Changes to Terms
The Agency reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of any changes, and it is their responsibility to review the updated terms.
 

11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of [Haryana]. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in [Haryana].
